Developed and implemented a complete Sarbanes-Oxley compliance program in three months.
Company Background:
GoFish is a youth entertainment and media network specializing in creating, aggregating, distributing, and monetizing premium youth content on a network of quality youth sites.
Business Challenge:
As a non-accelerated filer, GoFish needed to comply with Sarbanes-Oxley within three months in order to file their 10-KSB with the appropriate disclosures. In addition, because they were leanly staffed within their accounting department, they also needed accounting and reporting assistance.
AC Lordi Consulting Solution:
AC Lordi developed and completed a comprehensive Sarbanes-Oxley compliance program using our proven methodology. We developed and documented their Sarbanes-Oxley methodology and planning; performed risk assessments; identified, documented, and tested controls; accumulated the deficiencies; developed an antifraud program and spreadsheet controls; performed segregation of duties analysis; helped write Item 8A(T) (the controls and procedures disclosure for small business filers); and reported our findings to Company management. We also provided experts to assist with writing their disclosures for SFAS 109 Accounting for Income Taxes and SFAS 123R Share-Based Payment, implementing policies, and reviewing SEC filings.
Value Delivered:
AC Lordi completed all work within the extremely short timeframe of three months. GoFish successfully complied with Sarbanes-Oxley by filing their 10-KSB on time with the appropriate disclosures. We also worked closely with the external auditors to ensure they were comfortable with what was disclosed in Item 8A(T), and we continue to provide ongoing assistance with critical accounting and reporting projects as needed.
