Company Background:
Tegal Corporation designs, manufactures, markets and services plasma etch and deposition systems that enable the production of IC memory and related microelectronics devices used in personal computers, wireless voice and data telecommunications, radio frequency identification devices (RFID), smart cards, data storage and nano-scale actuators.
Business Challenge:
As a non-accelerated filer with a March 31 year-end, Tegal needed to comply with Sarbanes-Oxley by June 30 in order to file their 10-K with the appropriate disclosures.
AC Lordi Consulting Solution:
AC Lordi developed and completed a comprehensive Sarbanes-Oxley compliance program using our proven methodology. First we performed a full IT SOX documentation and testing initiative. Once that was completed, we developed and documented their Sarbanes-Oxley methodology and planning; performed risk assessments; identified, documented, and tested controls; accumulated the deficiencies; developed an antifraud program and spreadsheet controls; performed segregation of duties analysis; helped write Item 9A (the controls and procedures disclosure); and reported our findings to Company management.
Value Delivered:
Tegal successfully complied with Sarbanes-Oxley with no material weaknesses to report and filed their 10-K on time with the appropriate disclosures. We also worked closely with the external auditors to ensure they were comfortable with what was disclosed in Item 9A. In addition, by partnering with Peopleflex to provide contractors to perform the bulk of the work under the direction of AC Lordi supervision, we were able to bring both projects in under budget.
